  1. Scope of Warranty Coverage
    Med Dimensions, LLC (the “Company”) warrants to the original purchaser (“Purchaser”) that its physical models and associated products (collectively, the “Physical Products”) are free from material defects in design, functionality, manufacturing, and materials under customary and intended use. This warranty applies solely within the warranty periods specified below (the “Warranty Period”) from the date of purchase, and only to Physical Products purchased directly from the Company or its authorized resellers.
    • Non-consumable Physical Products: Six (6) months from the date of delivery.
    • Consumable Physical Products (without fluid): Three (3) months from the date of delivery or until first use, whichever occurs earlier.
    • Consumable Physical Products (with fluid): One (1) month from the date of delivery or until first use, whichever occurs earlier.
    • Definitions:
      • Non-consumable Physical Products are parts or components intended for prolonged use without regular replacement under normal conditions. These parts contribute to the overall functional integrity of the Physical Product and are not deemed expendable.
      • Consumable Physical Products are parts or components designed for repeated replacement due to expected wear, depletion, or frequent use. These parts are expendable and subject to distinct warranty terms.
      • First Use means the initial employment of the Physical Product or any of its parts for its intended purpose.
  2. Definitions and Interpretation
    For clarity in interpreting this warranty, the following terms shall have these specific meanings:
    • “Company” refers to Med Dimensions, LLC.
    • “Purchaser” is the original buyer of the Physical Product.
    • “Normal use” is the usage of the Physical Product in accordance with the Company’s instructions, under conditions typically encountered during standard use of such products.
    • “Repair” involves fixing or correcting defects to restore the Physical Product’s intended functionality.
    • “Replace” refers to providing a new or equivalent Physical Product or part in place of a defective item.
    • “Third-party components” include any non-Company parts, accessories, or modifications that have not been provided, endorsed, or authorized by the Company.
  3. Warranty Limitations
    This warranty is extended exclusively to the original Purchaser and is non-transferable. The Company’s liability is strictly limited to the repair or replacement of the defective Physical Product or its relevant components. This warranty does not confer upon the Purchaser any rights beyond those expressly stated herein.
    • Defects in Design: This warranty covers defects arising from design errors that impede the Physical Product’s intended functionality due to flawed conceptualization, structural integrity, or system integration.
    • Defects in Operation: Coverage includes operational defects that hinder the Physical Product’s normal performance, attributable to errors in design, manufacturing, or assembly processes.
    • Defects in Workmanship: The warranty includes deficiencies in manufacturing quality that deviate from Company specifications, including material handling, assembly procedures, or failure to meet specified design standards.
    • Defects in Materials: Coverage is extended to material inconsistencies or impurities that fail to meet the Company’s quality requirements, adversely impacting product performance or durability.
  4. Exclusion of Specific Third-Party Components
    This warranty does not apply to any third-party parts, components, or accessories not originally provided by the Company. Additionally, any Physical Product modified or repaired by an unauthorized third party is excluded from coverage under this warranty. The Company is not responsible for defects or damages arising from third-party alterations, repairs, or modifications, or from the use of non-Company components in conjunction with the Physical Product.
  5. Limitations on Repair or Replacement
    Repair or replacement under this warranty is limited to one (1) repair or replacement per defective component or Physical Product, unless otherwise authorized by the Company. The Company reserves the right to deny further warranty claims on previously repaired or replaced items unless there is evidence of a new, separate defect.
  6. Transferability and Continuity of Warranty
    This warranty is valid only for the original Purchaser and is non-transferable. Upon repair or replacement of any defective Physical Product or part, the warranty coverage shall continue only for the remaining duration of the original Warranty Period; no extension of the original Warranty Period will apply to repaired or replaced items.
  7. Exclusions for Environmental or Operational Conditions
    This warranty excludes damages or defects arising from exposure to extreme environmental conditions, including but not limited to excessive temperatures, high humidity, moisture, corrosive chemicals, or other environmental factors not within the range of normal use. The warranty is also void for Physical Products subjected to uses outside standard operational conditions or environments not explicitly recommended by the Company.
  8. Customer Responsibilities and Warranty Validity Requirements
    The Purchaser is responsible for following all maintenance, storage, and usage guidelines provided by the Company to ensure the validity of this warranty. Failure to comply with these guidelines may void the warranty. This includes but is not limited to regularly inspecting and cleaning the Physical Product, storing it in appropriate conditions, and using it strictly according to its intended purpose.
  9. Procedure for Warranty Claims and Service Timeline
    To initiate a warranty claim, the Purchaser must contact the Company with proof of purchase and a description of the defect. The Company will make its best efforts to process the claim within three (3) business days; however, this timeframe is not guaranteed. Expedited service requests may be accommodated at the Purchaser’s expense, subject to availability.
  10. Return and Replacement Procedure
    Upon determining that the Physical Product qualifies for warranty coverage, the Company will, at its discretion, repair or replace the defective item or component without charge to the Purchaser, provided the Purchaser is located within the United States. United States clients will not incur shipping expenses. However, international customers are responsible for all shipping, export/import fees, duties, and taxes associated with replacement shipments.
  11. Alternative Dispute Resolution (ADR)
    Any disputes arising from or related to this warranty, including claims of product defects, warranty exclusions, or limitations, shall be submitted to binding arbitration in the State of New York, in accordance with the rules of the American Arbitration Association. The Company and Purchaser agree to forgo court litigation and instead resolve disputes through arbitration to the fullest extent permitted by law.
  12. Waiver and Severability
    If any provision of this warranty is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in effect. The Company’s failure to enforce any part of this warranty shall not constitute a waiver of any rights under this warranty.
  13. Confidentiality of Claims and Warranty Repairs
    Any information related to warranty claims or repair resolutions between the Purchaser and the Company shall be deemed confidential. Both parties agree to maintain the confidentiality of all details related to the warranty claims and repair outcomes and not disclose such information publicly or to unauthorized third parties.
  14. Disclaimer of Implied Warranties
    Except as expressly stated herein, the Company disclaims all other warranties, express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. No Company representative, employee, or distributor is authorized to make any modification, extension, or addition to this warranty.
  15. Limitation of Liability
    The Company shall not be liable for any incidental or consequential damages, including, but not limited to, lost profits, lost usage, or property damage resulting from or relating to the use, inability to use, or failure of the Physical Product. The remedies stated in this warranty are exclusive and represent the sole and exclusive obligations of the Company and the exclusive remedy of the Purchaser.
  16. Governing Law and Dispute Resolution
    This warranty shall be governed by and construed in accordance with the laws of the State of New York, without reference to its conflict of laws principles. Any dispute arising out of or in connection with this warranty shall be resolved in the courts of the State of New York.

This warranty grants specific legal rights to the Purchaser, and additional rights may exist under the laws of certain states or jurisdictions.
